CLIENT AGREEMENT

These Terms & Conditions constitute a legally binding agreement entered into by and between the commissioning client (“Client,” “you”) and Brand Verse Solutions (“Agency,” “we,” “us”), established in 2022 and operating from Office F11, 13A, Gulshan-e-Iqbal, Karachi, Pakistan.

By approving an official Statement of Work (SOW), issuing a purchase order, paying a project retainer, or utilizing our deliverables, you explicitly confirm that you possess the corporate authority to bind your organization to these terms.

Brand Verse Solutions delivers bespoke digital engineering and creative services across eight core verticals:

• Website & UI/UX Design: High-fidelity Figma prototypes, human-centered user flows, design systems, and responsive wireframes.
• Custom Website Development: Bespoke corporate web platforms, portal architectures, Next.js/React full-stack builds, and high-security e-commerce solutions.
• Mobile App Development: Native iOS (Swift), Android (Kotlin), and cross-platform Flutter applications with cloud synchronization.
• Desktop Software & Enterprise ERPs: Custom C#/.NET Windows applications, inventory telemetry, and FBR POS digital invoicing modules.
• AI & Chatbot Automation: 24/7 intelligent WhatsApp Business bots, CRM integrations, and autonomous webhook pipelines.
• Corporate Branding & Graphic Design: Distinctive corporate identity systems, logo guidelines, vector typography, and luxury stationery.
• Digital Marketing & SEO: Meta Ads funnels, Google PPC campaigns, and technical 1st-page search engine optimization.

Every engagement follows our standardized, transparent execution roadmap:

• Phase 1 — Discovery & Specification: Technical requirement gathering, user journey mapping, and milestone schedule definition.
• Phase 2 — Architectural & Visual Design: UI/UX wireframing and interactive staging prototypes for client review.
• Phase 3 — Core Engineering: Full-stack development, database schema modeling, and backend microservice integration.
• Phase 4 — Quality Assurance & Security Audit: Cross-browser testing, mobile responsiveness verification, speed optimization, and vulnerability scans.
• Phase 5 — Staging Signoff & Production Launch: Final client demonstration on private staging servers followed by live domain deployment.

We operate on structured, milestone-based invoicing to ensure absolute financial clarity for both parties:

• Milestone Retainers: Standard projects typically require a 50% mobilization retainer prior to development kickoff, with remaining installments tied directly to verified delivery milestones.
• Supported Currencies: Invoices are issued in Pakistani Rupees (PKR) for domestic clients, or United States Dollars (USD) / UAE Dirhams (AED) for international partners.
• Payment Methods: Direct corporate bank transfers, Raast instant transfers (SBP), and international wire transfers to our official institutional accounts.
• Settlement Timelines: Invoices are due within seven (7) business days of issuance. Work on subsequent milestones may be temporarily paused if milestone invoices remain outstanding.

We believe in uncompromising transparency regarding digital asset ownership:

• 100% Client Ownership: Upon complete and final financial settlement of all project invoices, 100% of all custom written source codes, database models, vector logo files, and Figma design boards transfer entirely to the Client.
• No Vendor Lock-In: We provide full repository access (GitHub/GitLab) and administrative deployment credentials without proprietary licensing restrictions.
• Portfolio Showcase: Unless an explicit white-label Non-Disclosure Agreement (NDA) is executed prior to kickoff, Brand Verse Solutions reserves the customary right to display finished visual mockups and case study metrics in our agency portfolio.

Each service package includes designated revision iterations during the design and staging phases to ensure the final output exceeds expectations:

• Included Revisions: Standard proposals encompass up to two (2) comprehensive feedback cycles per phase prior to milestone signoff.
• Scope Expansions (Change Orders): Requests for features, architectural overhauls, or modules not outlined in the initial Statement of Work will be quoted separately under a mutually agreed written Change Order.

To provide absolute peace of mind, all custom websites, software applications, and mobile apps built by Brand Verse Solutions come standard with our 90-Day Dedicated Defect Rectification Warranty:

• Warranty Coverage: We will rectify any functional bugs, script errors, or layout regressions resulting from our code free of charge for 90 calendar days following production deployment.
• Exclusions: Issues caused by unauthorized modifications made by client third-party developers, severe third-party API deprecations, or compromised client hosting environments are excluded from warranty coverage.

To the maximum extent permitted by applicable law, Brand Verse Solutions shall not be liable for indirect, incidental, or consequential damages, including loss of profits, data corruption, or business interruption arising from third-party server downtime, telecom outages, or unauthorized cyber intrusions on client servers.

In all instances, the Agency’s aggregate financial liability under any claim shall not exceed the total fees paid by the Client to the Agency for the specific project vertical under dispute.

Either party may terminate an engagement upon fourteen (14) calendar days written notice in the event of a material breach by the other party.

In the event of voluntary Client cancellation prior to completion, the Client shall compensate the Agency for all verifiable labor, completed milestones, and non-recoverable software licenses incurred up to the termination date. All delivered work will be transferred accordingly.

These Terms & Conditions and all contractual relationships shall be governed, construed, and enforced exclusively in accordance with the laws of the Islamic Republic of Pakistan.

The parties agree to attempt in good faith to resolve any dispute through amicable executive consultation. In the event arbitration fails, the competent courts situated in Karachi, Sindh, Pakistan shall hold exclusive legal jurisdiction.
